This financing policy (the “Financing Policy”) supplements and concretizes the Terms of Use https://www.openbraininstitute.org/terms with regards to the financial terms and conditions applicable to the membership plans for the use of the Platform and its services. Capitalized terms used herein shall have the meaning ascribed to them in this Financing Policy or, where not defined herein, the meaning set forth in the Terms of Use.

Certain services available on the Platform are provided free-of-charge, while other options require payment before they can be accessed (the “Paid Subscription”). The fees applicable to the Paid Subscription (the “Fees”) are governed by the specific Paid Subscription plan the User agreed to. OBI makes no representation or warranty that the Fees are the lowest or best price at any given time during the term of the Paid Subscription.

a) Free Plan

The Free Plan is the default plan available to all Users upon registration to the Platform and does not require any subscription or payment.

The Free Plan includes the following functionalities and benefits:

• General functionalities: Get a Virtual Lab
• Cellular lab functionalities: Explore, Build (Partial), Experiment
• Circuit lab functionalities: Explore, Experiment
• Benefits: 100 complimentary credits, granted upon registration. These credits are non-transferable and perpetual. 1 GB of free storage space, available for use throughout the duration of the Free Plan. In the event of cancellation, the storage will be retained for a period of three (3) months as from the termination date, after which all data may be permanently deleted if no upgrade or renewal occurs.

b) Pro Plan

The Pro Plan is a Paid Subscription and is available on a monthly or yearly subscription basis. It includes the following functionalities and benefits:

• General functionalities: All options
• Cellular lab functionalities: All options
• Circuit lab functionalities: All options
• Support: Priority support
• Benefits: For monthly subscription: 50 credits are granted per month. These credits can be accumulated. They are non-transferable and perpetual. For yearly subscription: 650 credits are granted per year. These credits can be accumulated. They are non-transferable and perpetual. 2 GB of free storage space, available for use throughout the duration of the Pro Plan. In the event of cancellation, the storage will be retained for a period of three (3) months as from the termination date, after which all data may be permanently deleted if no upgrade or renewal occurs.

The Users interested in the Pro Plan may subscribe to it directly on the Platform.

c) Premium Plan

The Premium Plan is a Paid Subscription and is available on a monthly or yearly subscription basis. It includes the following functionalities:

• General functionalities: All options
• Cellular lab functionalities: All options
• Circuit lab functionalities: All options
• Support: All options

Prices and benefits of the Premium Plan will depend on the scope of services requested by the User.

The Users interested in the Premium Plan shall contact OBI directly at [info@openbraininstitute.org] to obtain a personalized offer.

d) Changes to Membership

The User may upgrade or downgrade his/her/its membership plan as well as modify the subscription billing by following the procedure available on the Platform or by contacting OBI directly. 

Any changes to the membership plan and/or the subscription billing will be applied as follows:

• Downgrade of the Paid Subscription (i.e. from the Premium Plan to the Pro Plan) or change from annual to monthly subscription: the change will be effective at the end of the current subscription period;
• Upgrade of a membership plan or change from monthly to annual subscription: the changewill be effective on the first day of the following monthand will mark the beginning of a new annual membership period, unless agreed otherwise in writing between the Parties.

If the User wishes to downgrade his/her/its Paid Subscription to the Free Plan, he/she/it shall cancel the Paid Subscription within the notice period specified in Article 5.b.

The Users may purchase credits to use certain functionalities available on the Platform (the “Credits”). All purchased Credits are non-refundable and non-transferable, including between different Virtual Labs or User accounts. Any unused Credits will remain available on the User’s account until its deletion.

Prices applicable to Paid Subscriptions and Credit purchases, as well as Credits value, are those indicated on the Platform at the time of the transaction, or, in the case of a Premium Plan subscription, those communicated directly by OBI and agreed by the User. Where applicable, they include value added tax (VAT). 

OBI reserves the right to modify the prices at any time and at its sole discretion.Any price modification will be notified to the User in advance by email and/or will be published on the Platform and will apply at the start of his/her/its next billing cycle, unless specified otherwise.

a. Payment Methods

OBI accepts payments by [credit or debit card (VISA and Mastercard) and bank transfer]. 

OBI reserves the right to modify, at its sole discretion, the accepted payment methods and may refuse individual payment methods for certain purchasers without giving any reasons.

b. Invoicing

The Fees will be billed in advance on a monthly or yearly basis, depending on the membership cycle selected by the User, on the calendar day corresponding to the commencement of the Paid Subscription. The Fees shall be paid within thirty (30) days of the due date indicated at the time of subscription.

Credits may be purchased at any time on the Platform. Payment is due immediately upon purchase. All Credit purchases are final and non-refundable.

Invoices or payment confirmations will be made available to Users electronically

c. Late payment

If the User fails to make any payment on the due date or to comply with any other payment terms, OBI shall be entitled, without prejudice to any other right or remedy available and without notice or compensation, to:

• restrict the User’s account;
• suspend all or part of the access to and/or use of the Platform and/or its services;
• immediately suspend or terminate all or part of the User’s membership without notice or compensation;

d. No Offset

The User is not authorized to offset its claims against those of OBI.

a. Renewal

PAID SUBSCRIPTIONS ARE AUTOMATICALLY RENEWED FOR THE SAME PERIOD, UNLESS CANCELLED IN ACCORDANCE WITH THE TERMS OF THIS FINANCING POLICY.

The User will receive notice prior to any automatic renewal of the Paid Subscription [by email his/her/its account on thePlatform].

b. Cancellation

The User may cancel its Paid Subscription at any time by giving one (1) month notice before the renewal date.

a. Amendments to this Financing Policy

OBI may amend this Financing Policy at its sole discretion and at any time. This includes the right to modify, update, or discontinue any aspect of the membership plans, including but not limited to their features, and structure.

The promulgation of the new versions of the policy is announced on the Platform. New versions of the Financing Policy shall take effect for new Users immediately and for existing Users at the start of their next billing cycle, unless specified otherwise. After the new versions become effective, continued use of the Platform constitutes acceptance of the amended Financing Policy.

b. Non waiver

Any failure by OBI to enforce any right or provision of this Financing Policy will not be considered a waiver of those rights.

c. Severability

If any provision of this Financing Policy is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

d. Governing Law

This Financing Policy shall be governed and construed in accordance with the laws of Switzerland, to the exclusion of its conflict of law provisions.

e. Jurisdiction

Any dispute, controversy or claim arising out of or in connection with this Financing Policy shall be submitted to the exclusive jurisdiction of the ordinary courts in Lausanne (Canton de Vaud).
